Terms of Service

These Terms of Service ("Terms") govern your use of Kola, an AI-native people-memory application for macOS, together with the getkola.app website and any related plugins and integrations (collectively, the "Service"). By downloading, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

The short version: Kola is local-first software you run on your own Mac. It indexes your accounts on your device, we operate no server that receives your personal data, and you are responsible for how you use it — including connecting accounts and recording calls lawfully. How Kola handles data is described in our Privacy Policy, which is incorporated into these Terms by reference.

Who we are

Kola is provided by Perennify Ltd ("Perennify", "we", "us"), the provider of the Service. You can reach us at support@getkola.app.

Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use the Service. By using the Service you represent that you meet this requirement and that you have the authority to agree to these Terms.

What Kola does

Kola pulls the people you know out of the accounts you connect — which may include email, calendar, LinkedIn, Telegram, WhatsApp, and Slack — and builds a unified people graph on your own device. The index and all derived data are stored locally on your Mac. We do not operate a server that receives, stores, or processes your personal data.

Your license to use Kola

Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Service for your own use. You may not copy, modify, distribute, sell, sublicense, reverse engineer, or create derivative works of the Service except to the extent that restriction is prohibited by applicable law or permitted by an open-source license that accompanies a given component. We retain all rights not expressly granted.

Your responsibilities

You are responsible for the accounts you connect, the data you import, and how you use the Service. You agree that you:

Connected accounts and third-party services

The Service lets you connect third-party accounts (such as Google, LinkedIn, Telegram, WhatsApp, and Slack) and use optional features that rely on outside providers (such as an AI assistant, contact enrichment, or profile photos). Your use of each third-party service is governed by that provider's own terms and privacy policy, not by these Terms. You authorize Kola to access those accounts on your behalf, and you can revoke that access at any time from the provider or by disconnecting the account in Kola.

When you connect Slack, Kola reads — read-only, with the user scopes you grant — your workspace directory, member emails, and the channels you can see, in order to build your local relationship graph and match Slack people to your existing contacts. Kola does not post to Slack, does not read channels you are not a member of, and does not read other users' messages. We are not affiliated with or endorsed by Slack or any other connected provider.

Call recording

Kola can record calls when you choose to. Recordings and transcripts are created and stored on your device. You are solely responsible for recording lawfully. Many jurisdictions require the consent of some or all parties before a conversation is recorded. It is your responsibility to understand and comply with the laws that apply to you and to obtain any required consent. You agree to indemnify us against claims arising from your recording of others.

AI features

When you use an AI feature, the relevant prompts and records are sent to the AI provider you have enabled (for example, Anthropic) to generate a response, as described in the Privacy Policy. AI output can be inaccurate or incomplete; you are responsible for reviewing it before relying on it. Do not use AI output as a substitute for professional advice.

Your data

As between you and us, you own the data you import into and create in Kola. Because that data lives on your device and we hold no copy, you are responsible for backing it up. We claim no ownership of your content and do not use it to train AI or machine-learning models. See the Privacy Policy for details.

Updates and changes to the Service

The app periodically checks getkola.app for updates and can download a new version when you choose to install it. We may add, change, or discontinue features at any time. We are not liable to you for any modification, suspension, or discontinuation of the Service.

Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements. To the maximum extent permitted by law, some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, revenue, or goodwill, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim or US$50. Some jurisdictions do not allow these limitations, so they may not fully apply to you.

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your data, your connected accounts, your recording of others, or your violation of these Terms or applicable law.

Termination

You may stop using the Service at any time by disconnecting your accounts and uninstalling Kola, which removes your local data from your Mac. We may suspend or terminate your license if you materially breach these Terms. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.

Governing law

These Terms are governed by the laws applicable where we are established, without regard to conflict-of-laws rules, except where mandatory consumer-protection law in your place of residence provides otherwise. You agree to resolve disputes in the courts of that jurisdiction, subject to any non-waivable rights you have at home.

Changes to these Terms

We may update these Terms as Kola evolves. Material changes will be reflected here with a new "Last updated" date. Your continued use of the Service after an update means you accept the revised Terms.
